As shareholders would be aware, BioDiem Limited ("BDM") or ("the Company") delisted from the Australian Securities Exchange (ASX) on the 15th November 2013.
To provide shareholders an opportunity to trade BDM ordinary shares and BDM options in the future, we have arranged with DFS Equities to provide a comprehensive secondary market administration service to shareholders and other interested parties wishing to invest in BDM. The company will not be involved in identifying buyers or sellers or providing a market.
DFS Equities
DFS Equities is a Sydney-based financial services company which has extensive experience in all aspects of transaction administration in unlisted securities. The company has been providing financial administration assistance and advice to retail and institutional clients since 2000.
DFS Equities maintains a Register of Interest which records buying and selling expressions of interest. Once agreement has been reached between interested parties, DFS Equities will arrange settlement of the transactions and execute all necessary documentation with the company's Share Registry. Privacy issues for BDM shareholders will be strictly maintained. A letter to existing BDM shareholders was mailed on December 9, 2013, which contains further information on the ASX delisting and DFS Equities services outlined above.
A Summary of the charges for administration services will be as follows:
- Administration fee of $75 plus GST to all buyers and sellers of transactions with consideration less than $20,000.
- Administration fee of $125 plus GST to all buyers and sellers of transactions with consideration above $20,000.
Important: We urge all shareholders to keep their Shareholder Issuer Sponsored Holding Statements in a secure place. These statements contain a Shareholder Reference Number that is required to sell your BDM securities. The Company's share registry issues Issuer Sponsored Holding statements following changes in shareholdings. It is also important to note that any existing BioDiem CHESS holding statements became null and void after the delisting on 15th November 2013, and thus new holding statements were issued by the Company's share registry to replace the CHESS holding statements. If a shareholder does not have an Issuer Sponsored Holding statement for their BioDiem shareholding, please contact the Share Registry. Please also ensure the Share Registry has your up-to-date address details.
