(Hong Kong - December 19th, 2000) Founder Holdings Limited (SEHK: 418) today announces the acquisition of a major Mainland China newspaper issuance system software developer, the formerly GuangdongYangcheng Tehui Modern Software Co., Ltd. ( "Yangcheng Tehui" ). The Acquisition is effected through the Company's Mainland China subsidiary, one of the world's leading E-Media solutions providers, Beijing Founder Electronics Co, Ltd, ( "Beijing Founder Electronics" ) , resulting in the establishment of a new company, Zhuhai Founder Tehui Software System Co., Ltd. ( "Zhuhai Founder Tehui"). This symbolizes the realization of synergy between two major Mainland China software technology giants for the newspaper/publishing industry.

The newly established Zhuhai Founder Tehui today held an establishing ceremony followed by a press conference in Zhuhai. Zhuhai municipal leaders, such as Mr. Huang Long-yun, Mr. Luo Chun-bai and Mr. Bei Hua, showed up at the ceremony; so did many clients from both Beijing Founder Electronics and Yangcheng Tehui. In front of all clients and press presented at the ceremony, President of Beijing Founder Electronics (Mr. Xiao Jian-guo) and General Manager of Zhuhai Founder Tehui (Mr. Li Jian-guo) together gave a briefing on the Acquisition: the objective, the significance, development so far and development in the long run, etc.

"Beijing Founder Electronics aims to provide series of products and solutions to all electronic media domains, catering to clients' specific needs, as the core of its E-Media strategy. The strategy is rightly annotated by the Acquisition of Yangcheng Tehui" said Mr. Xiao Jian-guo. "Through the establishment of the new company, Zhuhai Founder Tehui", Mr. Xiao continued, "we can further integrate our strengths in both sales/marketing and intellectual properties. Also, we can further improve the overall performance of our products/services designed for individual newspaper/publishing clients."

"For future development of Zhuhai Founder Tehui," Mr. Xiao added, "it will continue to develop newspaper issuance management systems. However, with the support of the R&D department of Beijing Founder Electronics, it plans to expand to develop systems catering to the all-around operational needs of newspaper/publishing houses." Mr. Xiao went on, "The R&D department of Zhuhai Founder Tehui is independent from that of Beijing Founder Electronics. Zhuhai Founder Tehui will then become a specialist software company, focusing on newspaper/publishing related management solutions, while the R&D department of Beijing Founder Electronics can devote fully to the development of information processing/distribution systems, where it has already gained an industrial leadership position.

"Before the Acquisition," said General Manger of Zhuhai Founder Tehui , Mr. Li Jian-guo, "both companies had been engaged in newspaper issuance management system development and production. Their businesses were overlapped; nevertheless, they each have their own distinguishing strengths." "One plus one is more than two." Mr. Li added, "With the said Acquisition and with the combination of strengths from both Beijing Founder Electronics and Yangcheng Tehui, the new company has, already at its establishment, achieved a head-start in providing higher-quality products/services to clients in electronic media domains. This ensures better value for our end users as well as our own."

The success of the Acquisition marks the first time of Beijing Founder Electronics establishing R&D centers in places other than Beijing. It is therefore helpful for the dissemination of Founder's unique technology in Mainland China, especially the Guangdong province and the surrounding area. Zhuhai, situated alongside Guangzhou and closeby to Hong Kong, is ideal for establishing R&D centers, as it provides a linkage between market demand and supply and gives rise to endless opportunities to the local economy. This is one of the reasons why Beijing Founder Electronics has located its first beyond-Beijing R&D base in Zhuhai. At the ceremony, Secretary of the Party at Zhuhai, Mr. Huang Long-yun, expressed his hearty welcome to the coming of Beijing Founder Electronics to Zhuhai. "Zhuhai is among the first few coastal cities opened up to the outside world. Based on our current strengths, we are determined to develop into a high-tech industry incubation city of China. In order to attract more capital as well as technology, the Zhuhai municipal government has adopted a most favourable taxation policy."
