Under the 2002 Scheme, the board of directors (the “Board”) of the Company shall, subject to and in accordance with the provisions of the 2002 Scheme and the Listing Rules, grant share options to any eligible participant to subscribe for shares in the capital of the Company. A new share option scheme (the “2012 Scheme”) was adopted and the 2002 Scheme was terminated by the shareholders of the Company at the annual general meeting held on 25 May 2012. The 2012 Scheme became effective on 29 May 2012 upon the Listing Committee of the Stock Exchange granting approval of the listing of, and permission to deal in, any shares falling to be issued and allotted upon the exercise of the share options granted. The share options which have been granted and remained outstanding under the 2002 Scheme remain valid and exercisable in accordance with their terms of issue. 34 以股份支付支出之交易 (a) 本公司之購股權計劃 本公司股東於二零零二年六月七日 舉行之股東周年大會上採納了購股 權計劃（「二零零二計劃」）。根據 二零零二計劃，本公司董事會（「董 事會」）可根據及按照二零零二計劃 的條款及上市規則授予任何合資格 人士購股權以認購本公司之股份。 本公司股東並於二零一二年五月 二十五日舉行之股東周年大會上採 納了新購股權計劃（「二零一二計 劃」）及終止了二零零二計劃。 繼聯交所上市委員會批准授出之購 股權獲行使而將予發行及分配之任 何股份上市及買賣，二零一二計劃 於二零一二年五月二十九日起生 效。 根據二零零二計劃項下已授出但尚 未行使的購股權仍然有效，並可根 據其發行條款予以行使。
