92 SHOUGANG CONCORD CENTURY HOLDINGS LIMITED 首長寶佳集團有限公司 企業管治報告 CORPORATE GOVERNANCE REPORT 成員╱股東召開股東大會（「股東大會」）之 程序 根據公司條例第 566 條，如本公司收到佔全體 有權在股東大會上表決的成員╱股東的總表決 權最少 5% 的公司成員╱股東的要求，要求召 開股東大會，則董事須召開股東大會。 書面請求書： (a) 須述明有待在有關股東大會上處理的事 務的一般性質； (b) 可包含可在該股東大會上恰當地動議並 擬在該股東大會上動議的決議的文本； (c) 可 採 用 印 本 形 式 送 交 於 本 公 司 的 註 冊 辦 事 處 ， 地 址 為 香 港 柴 灣 新 業 街 6 號 安 力 工 業 中 心 十 二 樓 1215 室 ， 或 電 子 形 式 透 過 本 公 司 電 郵 ir@shougangcentury.com.hk ，註明公司 秘書收啟； (d) 可包含若干份格式相近的文件； (e) 必須經提出該要求的人認證；及 (f) 必須由本公司股份過戶登記處核實，在 確定為適當及符合程序後，本公司公 司秘書將要求董事會召開股東大會， 並按照法定要求給予本公司所有登記成 員╱股東充分的通知期。反之，若有關 要求經核實為不符合程序，請求人將獲 知會結果，而本公司亦不會按要求召開 股東大會。 Procedures for members/shareholders to convene a general meeting (“GM”) Under Section 566 of the Companies Ordinance, the Directors are required to call a GM if the Company has received requests to do so from members/shareholders of the Company representing at least 5% of the total voting rights of all the members/shareholders having a right to vote at GM. The request: (a) must state the general nature of the business to be dealt with at the GM; (b) may include the text of a resolution that may properly be moved and is intended to be moved at the GM; (c) may be deposited at the registered office of the Company at Room 1215, 12/F., Honour Industrial Centre, 6 Sun Yip Street, Chai Wan, Hong Kong for the attention of Company Secretary in hard copy form or in electronic form by email to ir@shougangcentury.com.hk; (d) may consist of several documents in like form; (e) must be authenticated by the person or persons making it; and (f) must be verified with the share registrar of the Company, and upon the share registrar’s confirmation that the request is proper and in order, the Company Secretary of the Company will notify the Board to convene a GM by serving proper notice in accordance with the statutory requirements to all the registered members/shareholders of the Company. On the contrary, if the request has been verified as not in order, the requesting members/shareholders will be informed of this outcome and accordingly, a GM will not be convened as requested.
