94 SHOUGANG CONCORD CENTURY HOLDINGS LIMITED 首長寶佳集團有限公司 企業管治報告 CORPORATE GOVERNANCE REPORT 成員╱股東於股東周年大會（「股東周年大 會」）提呈動議的程序 按公司條例第 615 條，如公司根據第 610 條須 舉行股東周年大會，該公司的成員╱股東可要 求該公司向有權收到該股東周年大會的通知的 公司成員╱股東，發出關於可在該大會上恰當 地動議並擬在該大會上動議的決議的通知。 本公司如收到以下成員股東的要求，要求發出 某決議的通知，則須發出該通知： (a) 佔全體有權在該要求所關乎的股東周年 大會上，就該決議表決的成員的總表決 權最少 2.5% 的公司成員╱股東；或 (b) 最少 50 名有權在該要求所關乎的股東周 年大會上就該決議表決的成員╱股東。 書面請求書： (a) 須採用印本形式送達公司註冊辦事處， 地址為香港柴灣新業街 6 號安力工業中心 十二樓 1215 室，或電子形式透過本公司 電郵 ir@shougangcentury.com.hk ，註 明公司秘書收啟； (b) 須指出有待發出通知所關乎的決議； (c) 須經所有提出該要求的人認證；及 (d) 須於 (i) 該要求所關乎的股東周年大會舉 行前的 6 個星期之前；或 (ii) （如在上述時 間之後送抵本公司的話）該股東大會的通 知發出之時送達到本公司。 Procedures for members/shareholders to put forward proposals at annual general meetings (“AGM”) Pursuant to Section 615 of the Companies Ordinance, if a company is required to hold an AGM under Section 610, the members/shareholders of the company may request to give, to members/shareholders entitled to receive notice of the AGM, notice of a resolution that may properly be moved and is intended to be moved at that meeting. The Company must give notice of a resolution if it has received requests that it do so from: (a) t h e memb e r s / s h a r e h o l d e r s o f t h e C omp a n y representing at least 2.5% of the total voting rights of all the members/shareholders who have a right to vote on the resolution at the AGM to which the requests relate; or (b) at least 50 members/shareholders who have a right to vote on the resolution at the AGM to which the requests relate. The request: (a) must be sent to the registered office of the Company at Room 1215, 12/F., Honour Industrial Centre, 6 Sun Yip Street, Chai Wan, Hong Kong for the attention of the Company Secretary in hard copy form or in electronic form to ir@shougangcentury.com.hk; (b) must identify the resolution of which notice is to be given; (c) must be authenticated by the person or persons making it; and (d) must be received by the Company not later than (i) 6 weeks before the AGM to which the requests relate; or (ii) if later, the time at which notice is given of that meeting.
