12 SHOUGANG CONCORD CENTURY HOLDINGS LIMITED 首長寶佳集團有限公司 BIOGRAPHICAL DETAILS OF DIRECTORS 董事簡歷 除上述所披露之董事職務外，李先生從前並無 於本集團擔任任何職位，且於過去三年內並無 於香港或海外任何證券巿場上巿的公眾公司 擔任任何董事職務，李先生與其他董事、高級 管理人員或主要股東或控股股東概無任何關 係。於本年報之日期，就證券及期貨條例第 XV 部涵義，彼並無持有本公司任何證券權益。李 先生與本公司簽訂服務合約，期限由二零二零 年一月一日起至二零二二年十二月三十一日 止。根據章程細則規定，惟彼之任期將於股東 周年大會屆滿及將有資格重選連任及後可根 據章程細則於股東周年大會上輪值告退及重 選連任。李先生已自願放棄接受任何董事酬 金。董事之酬金按本公司之業績及盈利狀況， 亦以業界及當時市場環境而釐訂。 除上文所披露者外，李先生並無有關彼作為董 事之任何其他事宜須知會股東，以及並無其他 須根據上市規則第 13.51(2)(h) 條至 (v) 條披露的 資料。 Other than his directorship disclosed above, Mr. Li has not previously held any position with the Group and does not hold any directorship in the last three years in public companies the securities of which are listed on any securities market in Hong Kong or overseas. Mr. Li does not have any relationship with any other Directors, senior management or substantial Shareholders or controlling Shareholders. At the date of this annual report, he does not have any interest in securities of the Company within the meaning of Part XV of the SFO. A service contract was entered into between Mr. Li and the Company for a term commencing from 1 January 2020 and ending on 31 December 2022. However, he will hold office until the annual general meeting of the Company, at which time he will be eligible for re-election in accordance to the Articles and thereafter will be subject to retirement by rotation and re- election at the annual general meetings of the Company in accordance with the Articles. Mr. Li has voluntarily declined any director’s emoluments. The emoluments of Directors are determined by reference to the Company’s performance and profitability, as well as remuneration benchmark in the industry and the prevailing market conditions. Save as disclosed above, there are no other matters relating to Mr. Li’s particulars as being a Director that need to be brought to the attention of the Shareholders and there is no other information which is required to be disclosed pursuant to Rule 13.51(2)(h) to (v) of the Listing Rules.
