52 SHOUGANG CONCORD CENTURY HOLDINGS LIMITED 首長寶佳集團有限公司 CORPORATE GOVERNANCE REPORT 企業管治報告 於本年度回顧,本公司曾舉行三次薪酬委員會 會議及曾通過兩次所有薪酬委員會成員的書 面決議案,薪酬委員會之工作包括但不限於﹕ (i) 考慮及檢討按照執行董事、非執行董事及獨 立非執行董事的個人表現而釐訂的薪酬; (ii) 審閱非執行董事(包括獨立非執行董事)的董 事袍金; (iii) 考慮及建議葉芊先生自二零一九 年六月二十八日起獲委任為本公司非執行董 事之服務合約及酬金; (iv) 考慮及建議自二零 一九年七月一日起調整蘇凡荣先生作為本公 司董事長兼董事總經理之酬金; (v) 考慮及建議 馮耀嶺先生自二零二零年一月一日起獲委任 為本公司非執行董事之服務合約及酬金; (vi) 由二零一九年六月二十八日起生效之薪酬委 員會成員書面決議案,委任葉芊先生為本公司 非執行董事的薪酬待遇之處理事項; (vii) 由二 零二零年一月一日起生效之薪酬委員會成員 書面決議案,委任李金平先生為本公司執行董 事的薪酬待遇之處理事項;及 (viii) 檢討薪酬委 員會職權範圍書。董事之酬金由薪酬委員會按 照個人表現、本集團之業績及盈利狀況,亦以 業界指標及當時市場環境而向董事會建議。 而有關薪酬委員會成員於本年度舉行的會議 之出席紀錄已列載於本報告第 45 頁內之「 出席 紀錄 」內。 有關本集團之酬金政策之資料已列載於本年報 「 董事會報告 」及一份即將發佈之獨立報告- 《二零一九年度環境、社會及管治報告》(「二 零一九年度環境、社會及管治報告」)相關章 節內。 During the year under review, three remuneration committee meetings were held and two written resolutions of all members of remuneration committee were passed and the works performed by the remuneration committee included but not limited to: (i) the consideration and review of the performance-based remuneration of executive, non- executive and independent non-executive Directors; (ii) the review of the directors’ fees of non-executive Directors (including independent non-executive Directors); (iii) the consideration and recommendation of the terms of service contract and remuneration of Mr. Ye Qian as the non- executive Director with effect from 28 June 2019; (iv) the consideration and recommendation of the revision of the remuneration of Mr. Su Fanrong as chairman and managing Director with effect from 1 July 2019; (v) the consideration and recommendation of the terms of service contract and remuneration of Mr. Feng Yaoling as the non- executive Director with effect from 1 January 2020; (vi) the remuneration package for the appointment of Mr. Ye Qian as the non-executive Director with effect from 28 June 2019 by written resolution of remuneration committee; (vii) the remuneration package for the appointment of Mr. Li Jinping as the executive Director with effect from 1 January 2020 by written resolution of remuneration committee; and (viii) the review of the terms of reference of remuneration committee. The emoluments of the Directors are recommended by the remuneration committee to the Board, having regard to individual performance, the Group’s performance and profitability, remuneration benchmark in the industry and prevailing market condition. The attendance record of the remuneration committee members at the meetings held during the year is set out in the “ Attendance Record ” on page 45 of this report. The information in respect of emolument policy of the Group is set out in the relevant sections of the “ REPORT OF THE DIRECTORS ” of this annual report and a separate report, 2019 Environmental, Social and Governance Report (the “2019 ESG Report”) (to be published).
