ARRANGEMENT FOR DISSEMINATION OF CORPORATE COMMUNICATIONS

Electronic Dissemination of Corporate Communications (other than Actionable Corporate Communications)

Pursuant to the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited ("Listing Rules"), the Companies Ordinance (Chapter 622 of the Laws of Hong Kong) and the Articles of Association of China Motor Bus Company, Limited ("CMB" or "Company"), the Company adopts electronic dissemination of all future Corporate Communications (Note 1). The English and Chinese versions of all Corporate Communications are available electronically on the CMB website and the HKEXnews website ("Website Version").

The Company will seek consent from each new registered shareholder to receiving the Website Version of all future Corporate Communications (other than Actionable Corporate Communications (Note 2)). Similar consent will also be sought from the existing registered shareholders. If the Company does not receive a response indicating the registered shareholder's objection within a period of 28 days from the date on which the Company's request was sent, the registered shareholder will be deemed to have elected the Website Version, and a notification of the publication of the relevant Corporate Communications on the CMB website will be sent to the shareholder by email, or if no email address is provided by the shareholder, by post at the address recorded on the register of members of the Company.

Actionable Corporate Communications will be sent to registered shareholders individually by post to their addresses as appeared in the Company's register of members.

A registered shareholder who has elected (or is deemed to have elected) the Website Version but for any reason has difficulty in gaining access to the Website Version, the Company will, promptly upon receipt of the shareholder's request in writing to the Share Registrar (as defined below), send the printed version of the Corporate Communications to him/her free of charge. Nonetheless, such request does not constitute a change in his/her election. Please refer to the section headed "Election of Means of Receipt of Corporate Communications" below for a revocation and change of your previous election.

For non-registered shareholder, if you wish to receive Corporate Communications pursuant to the Listing Rules, you should liaise with your bank(s), broker(s), custodian(s), nominee(s) or HKSCC Nominees Limited through which your shares are held (collectively, "Intermediaries") and provide your email address to your Intermediaries.

Election of Means of Receipt of Corporate Communications

Upon publication of Corporate Communications on the CMB website, registered shareholders and non-registered shareholders who wish to receive the relevant Corporate Communications in printed form may submit a request to the Company's Share Registrar, Computershare Hong Kong Investor Services Limited ("Share Registrar").

Registered shareholders and non-registered shareholders may from time to time change their choices of means of receiving Corporate Communications. A shareholder's request for the printed version of future Corporate Communications will remain valid until the instruction has been revoked, superseded or expired, or for one year from the date of receiving his/her instruction (whichever is earlier).

All such requests should be sent to the Share registrar by email at (cmb.ecom@computershare.com.hk) or by post to 17M Floor, Hopewell Centre, 183 Queen's Road East, Wan Chai, Hong Kong.

Notes:
1. Corporate Communications refer to any document issued or to be issued by the Company for the information or action of holders of any of its securities, including but not limited to, the directors' report, the annual accounts together with a copy of the auditor's report, the interim report, a notice of meeting, a listing document, a circular and a form of proxy.
2. Actionable Corporate Communications refer to any corporate communication that seeks instructions from the Company's securities holders on how they wish to exercise their rights or make an election as the Company's securities holders. For the avoidance of doubt, this does not include a notice of general meeting or a form of proxy.
