CORPORATE GOVERNANCE REPORT (CONTINUED) China Merchants China Direct Investments Limited Annual Report 2021 61 CHAIRMAN AND CHIEF EXECUTIVE OFFICER Mr. ZHANG Jian was the Chairman of the Company until 26 April 2021 and Mr. ZHOU Xing was appointed to succeed Mr. ZHANG as the Chairman of the Company on the same date. The functions of the Chief Executive Officer have been undertaken by the Investment Manager. The Director and General Manager of the Investment Manager is Mr. WANG Xiaoding, who is also a Director of the Company. The roles of the Chairman and Chief Executive Officer are segregated and are not exercised by the same individual. NON-EXECUTIVE DIRECTORS The term of office of each Non-executive Director (including Independent Non-executive Director) is for a period of three years. TRAINING AND SUPPORT FOR DIRECTORS Directors must keep abreast of their collective responsibilities. Each newly appointed Director or Alternate Director shall receive an induction package covering the Company’s businesses and the statutory and regulatory obligations of a director of a listed company. The Company continuously updates the Directors on the latest developments regarding the Listing Rules and other applicable regulatory requirements, to ensure compliance and enhance their awareness of good corporate governance practices. Circulars or guidance notes are issued to the Directors and senior management, where appropriate, to ensure awareness of best corporate governance practices.
