NOTICE IS HEREBY GIVEN that a Petition was on 26th January, 2000 presented to the High Court of Hong Kong for the sanctioning of a Scheme of Arrangement dated 3rd January, 2000 between Founder (Hong Kong) Limited and the holders of shares of $0.10 each and for the confirmation of the reduction of the capital of the Company involved in such Scheme of Arrangement.

AND NOTICE IS FURTHER GIVEN that the Petition is directed to be heard before the Honourable Mr. Justice Ribeiro at the High Court of Hong Kong, Court of First Instance, No. 38 Queensway, Hong Kong on 30th March, 2000 at 9:30 a.m.

ANY creditor or shareholder of the Company desiring to oppose the making of an Order for the confirmation of the reduction of capital should appear at the time of the hearing of the Petition in person or by Counsel for that purpose.

A copy of the Petition will be furnished to any such person requiring the same by the under-mentioned Solicitors on payment of the regulated charge for the same.
