MISCELLANEOUS PROCEEDINGS
IN THE MATTER

FOUNDER (HONG KONG) LIMITED
and
IN THE MATTER
of
the Companies Ordinance (Chapter 32)
(the "Company") from HK$160,000,000 to HK$49,120,010.70 and the Minute approved by the Court showing, with respect to the capital of the Company as altered, the several particulars required by the above-mentioned Ordinance were registered by the Registrar of Companies on 31st March, 2000.
The said Minute is in the words and figures following:
was by virtue of a Special Resolution of the Company and with the sanction of an Order of the High Court of Hong Kong dated 30th March, 2000 reduced from $160,000,000 divided into 1,600,000,000 shares of $0.10 each (of which 1,108,799,893 shares had been issued and were fully paid) to $49,120,010.70 divided into 491,200,107 shares of $0.10 each (none of which shares has been issued). The Special Resolution further provides that forthwith upon such reduction of capital taking effect, the authorised capital of the Company be increased from $49,120,010.07 to $160,000,000 by the creation of an additional 1,108,799,893 shares of $0.10 each. By virtue of a Scheme of Arrangement sanctioned by the Order and the Special Resolution, the capital of the Company on the registration of this Minute is accordingly $160,000,000 divided into $1,600,000,000 shares of $0.10 each (none of which shares has been issued)."Dated the 10th day of April, 2000
