The board of directors (the "Board") of Founder Holdings Limited (the "Company") noted the recent increases in the price and trading volume of the shares of the Company and wishes to state that we are not aware of any reasons for such increases except disclosed herein.
Reference is made to the joint announcement made by the respective boards of directors of the Company and Management Investment & Technology (Holdings) Limited ("MIT") dated 24th May 2000 ("the Announcement"). As disclosed in the Announcement, the Company entered into a Sale and Purchase Agreement in relation to the disposal of Founder Data to MIT, which constitute a major transaction of the Company under the Listing Rules. Shareholders and investors are advised to exercise caution when dealing in the securities in the Company. Further announcement will be made as and when appropriate.
Save as disclose above, the Board also confirm that there are no negotiations or agreements relating to any intended acquisitions or realizations which are discloseable under paragraph 3 of the Listing Agreement, neither is the Board aware of any matter discloseable under the general obligation imposed by paragraph 2 of the Listing Agreement, which is or may be of a price-sensitive nature.
