89 年報 2021 ANNUAL REPORT REPORT OF THE DIRECTORS 董事會報告書 根據證券及期貨條例董事於股份、債權 證或相關股份之權益及淡倉 於二零二一年十二月三十一日，概無董事及本 公司最高行政人員於本公司或其任何相聯法團 （按證券及期貨條例第 XV 部之涵義）之股份、債 權證或相關股份中，擁有須根據證券及期貨條 例第 XV 部第 7 及 8 分部知會本公司及聯交所之 任何權益及淡倉（包括根據證券及期貨條例規 定被視作或當作擁有之權益及淡倉）；或須根 據證券及期貨條例第 352 條登記於根據該條例 存置或根據標準守則須於本文披露之任何權益 及淡倉。 董事在交易、安排或合約中之權益 於本年度內各董事及其關連的實體於本公司或 其任何附屬公司所訂立的任何對本集團業務可 屬重大之交易、安排或合約中，不論直接或間 接，概無擁有實益權益。 管理合約 除僱員合約外，本年度內概無訂立或存有與本 公司全部或任何重大部分業務的管理及行政有 關的合約。 DIRECTORS’ INTERESTS AND SHORT POSITIONS IN SHARES, DEBENTURES OR UNDERLYING SHARES UNDER THE SFO As at 31 December 2021, none of the Directors and chief executives of the Company had any interests and short positions in the Shares, debentures or underlying Shares or any of its associated corporations (within the meaning of Part XV of the SFO) which had to be notified to the Company and the Stock Exchange pursuant to Divisions 7 and 8 of Part XV of the SFO (including interests and short positions which he was taken or deemed to have under such provisions of the SFO) or which were required pursuant to Section 352 of the SFO, to be entered in the register referred therein or which were required to be disclosed herein pursuant to the Model Code. DIRECTORS’ INTERESTS IN TRANSACTIONS, ARRANGEMENT OR CONTRACTS No Director or his entity connected had a material interest, directly or indirectly, in a transaction, arrangement or contract or a proposed transaction, arrangement or contract that is significant in relation to the Company’s business to which the Company or any of its subsidiaries was a party during the year. MANAGEMENT CONTRACTS No contracts, other than employment contracts, concerning the management and administration of the whole or any substantial part of any business of the Company were entered into or subsisted during the year.
