87 年報 2022 ANNUAL REPORT REPORT OF THE DIRECTORS 董事會報告書 遵守法律及規定 本集團承諾遵守其經營業務的法律及規定。 於本年度回顧，本集團並無重大違反或不遵 守適用的法律及規定。除了遵守香港法律， 如《公司條例》、《上市規則》、《證券及期貨條 例》、《僱傭條例》及《打擊洗錢及恐怖分子資 金籌集條例》，我們亦遵守中國的法律，包括 《中國公司法》、《中國勞動法》、《中國勞動合 同法》、《企業年金辦法》、有關童工和強制勞 工的法律及法規，包括《禁止使用童工規定》 和《中國未成年人保護法》，以及其他與廢 物、廢氣和廢水排放有關的防治及控制的法 例及規定和其他環保法律及相關規則。該等 法律、法例及規定包括但不限於：《中國環境 保護法》、《中國環境保護稅法》、《中國大氣 污染防治法》、《中國水污染防治法》、《廢物 處置條例》、《產品環保責任條例》、《地表水 環境品質標準》、《污水排入城鎮下水道水質 標準》、《危險廢物經營授權管理辦法》、《中 國固體廢物污染環境防治法》等。若本集團 沒有妥善處理所有廢物排放及廢氣排出，我 們將須承擔沉重的環境保護稅並增加處置廢 物的成本，該等環保法律將對本集團的營運 造成影響。 COMPLIANCE WITH LAWS AND REGULATIONS The Group is committed to comply with the laws and regulations in which it operates its businesses. During the year under review, there was no material breach of or non- compliance with the laws and regulations applicable to the Group. Apart from complying with Hong Kong laws such as the Companies Ordinance, Listing Rules, SFO, Employment Ordinance and Anti-Money Laundering and Counter-Terrorist Financing Ordinance, we have also complied with laws of the PRC, including the Company Law of the PRC, Labour Law of the PRC, Labour Contract Law of the PRC, Enterprise Annuities Fund Measures, relevant laws, rules and regulations in relation to child and forced labour including the Provisions on the Prohibition of Using Child Labour and the Law of the PRC on the Protection of Minors, as well as other environmental laws, relevant rules, ordinances and regulations on the prevention and control of wastage, waste gases and sewage emission. These laws, ordinances and regulations include but not limited to the Environmental Protection Law of the PRC, the Environmental Protection Tax Law of the PRC, the Prevention and Control of Atmospheric Pollution of the PRC, the Water Pollution Prevention and Control Law of the PRC, the Waste Disposal Ordinance, the Product Eco-responsibility Ordinance, Environmental Quality Standard for Surface Water, Wastewater Quality Standards for Discharge to Municipal Sewers, Measures for Hazardous Waste Operation Administration and Solid Wastes of Prevention and Control Law of the PRC etc.. These environmental laws will have impact on the Group’s operation since if we do not dispose all wastages, discharges and waste gases properly, we might have to bear heavy environmental protection tax and so increase the cost of disposal of wastages.
