Sunny Optical Technology (Group) Company Limited 舜宇光學科技（集團）有限公司 62 Directors’ Report 董事會報告 董事服務合約 所有執行董事已與本公司訂立服務合約，自二零 零七年五月十八日起計初步為期三年，且不得於 上市日期起計 12 個月內終止服務合約。 除 Ricks Michael David 先生的服務合約自二零零 七年九月三十日起外，所有非執行董事的任期自 二零零七年五月十八日起計初步為期三年，而獨 立非執行董事的委任期自二零零七年五月十八日 起計初步為期三年。 擬與應屆股東大會上重選連任的董事中無人與本 公司簽訂本集團於一年之內在無賠償（法定賠償 除外）的情況下不可終止之服務合同。 DIRECTORS’ SERVICE CONTRACTS Each of the executive Directors has entered into a service contract with the Company for an initial term of three years commencing from 18 May 2007. The service contract shall not be terminated within 12 months since the date of Listing. Each of the non-executive Directors is appointed for an initial term of three years commencing from 18 May 2007, except Mr. Ricks Michael David whose service contract is commencing from 30 September 2007, and each of the independent non-executive Directors is appointed for initial term of three years commencing from 18 May 2007. No Director proposed for re-election at the forthcoming annual general meeting has a service contract with the Company which is not determinable by the Group within one year without payment of compensation, other than normal statutory compensation.
