(2) As TMF Trust (HK) Limited is one of the two trustees (together with Mr. Wang Wenjian) of the Sunny Group Employee Offshore Trust, TMF Trust (HK) Limited is deemed to be interested in the 389,091,927 Shares held by Sun Xu under the SFO. Save as disclosed herein, the Company has not been notified of any other person who had an interest or a short position in the Shares and underlying Shares (in respect of positions pursuant to equity derivatives) as recorded in the register required to be kept by the Company pursuant to section 336 of the SFO as at 31 December 2023. 附註： (1) 由於舜基持有超過三分之一的舜旭股東大會投票 權，因此根據《證券及期貨條例》，舜基被視為 於舜旭所持 389,091,927 股股份中擁有權益。 (2) 由於達盟信託服務（香港）有限公司連同王文 鑒先生為舜宇集團僱員海外信託的兩位受託人 其中之一，故此根據《證券及期貨條例》，達盟 信託服務（香港）有限公司被視為於舜旭所持 389,091,927 股股份中擁有權益。 除此處所披露者外，於二零二三年十二月 三十一日，概無任何其他人士知會本公司，彼 於股份及相關股份（與根據股本衍生工具所持 有的持倉量相關）中擁有記錄於根據《證券及期 貨條例》第 336 條要求本公司備存之登記冊上的 權益或淡倉。
