Corporate Governance Report 企業管治報告 54 Sunny Optical Technology (Group) Company Limited • ANNUAL REPORT 2023 董事職責 各董事知悉,彼等應對本公司事務投放足夠的 時間和精力。 董事將不時獲提供有關監管規定任何變動的最 新發展及本公司遵守適用規則及規例的進展情 況。董事亦會不時獲提供本公司最新的業務發 展及營運計劃。 非執行董事(包括獨立非執行董事)的職能包 括: (a) 參與董事會會議,在涉及策略、政策、 公司表現、問責性、資源、主要委任及操守準 則等事宜上,提供獨立的意見; (b) 出現潛在利 益衝突時以身作則,發揮引導作用; (c) 應邀出 任董事會轄下委員會成員;及 (d) 審查本公司的 表現是否達到既定的企業目標和目的,並監察 匯報公司表現的事宜。本公司鼓勵獨立非執行 董事及其他非執行董事通過提出獨立、富建設 性及有根據的意見為發行人制定策略及政策作 出正面貢獻。 持續專業培訓 為遵守企業管治守則條文第二部分第 C.1.4 條, 本公司就全體董事參加以內部培訓、研討會或 其他適當的課程形式的持續專業發展作出安排 並提供資金,使彼等更新其知識、技能及對本 集團及其業務的理解,或使彼等在有關法規、 上市規則及企業管治守則及常規的最新發展或 變動方面更新技能及知識。新委任的董事在受 委任時將獲得全面、正式兼特為其而設的就任 須知,且後續亦將獲得關於上市公司董事法定 及監管義務及對本公司的運作和業務形成適當 理解的培訓。本公司會在適當情況下向董事及 高級管理層發出通函或指引,確保彼等知悉企 業管治守則及建議最佳常規。 Responsibilities of Directors Every Director is aware that he/she should devote sufficient time and attention to the affairs of the Company. The Directors are kept informed from time to time on the latest development of any changes to the regulatory requirements and the progress of compliance with applicable rules and regulations by the Company. The Directors are also updated from time to time on the latest business development and operation plans of the Company. The functions of non-executive Directors (including independent non-executive Directors) include: (a) participating in board meetings to bring an independent judgement to bear on issues of strategy, policy, performance of the Company, accountability, resources, key appointments and standards of conduct; (b) taking the lead where potential conflicts of interests arise; (c) serving on the Board committees, if invited; and (d) scrutinising the Company’s performance in achieving agreed corporate goals and objectives, and monitoring performance reporting. Independent non-executive Directors and other non-executive Directors are encouraged to make a positive contribution to the development of the issuer’s strategy and policies through independent, constructive and informed comments. Continuous Professional Training In compliance with code provision C.1.4 set out in part 2 of Corporate Governance Code, the Company arranges and provides fund for all the Directors to participate in continuous professional development organised in the form of in-house training, seminars or other appropriate courses to keep them refresh of their knowledge, skill and understanding of the Group and its business or to update their skills and knowledge on the latest development or changes in the relevant statutes, the Listing Rules and Corporate Governance Code and practices. A newly appointed Director would receive a comprehensive, formal and tailored induction on appointment and subsequently trainings covering the statutory and regulatory obligations of a Director of a listed company and the proper understanding of the Company’s operations and business. Circulars or guidance notes are issued to Directors and senior Management by the Company, where appropriate, to ensure the awareness of Corporate Governance Code and the recommended best practices.
